1) Who We Are
Navode ("Navode," "we," "us," or "our") provides trip‑planning and travel infotainment tools. Our Services surface information from a mix of user submissions and third‑party sources (e.g., local experts, public/government data, social/community pages, forums, and partner feeds). Navode is based in Colorado, USA.
2) Agreement to Terms
By accessing or using any Navode website, app, API, or feature (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company, you represent that you have authority to bind that company; “you” includes the company.
Using Navode means you accept these Terms.
3) Changes to These Terms
We may change these Terms to reflect new features or legal requirements. We’ll post the updated Terms with a new Effective Date. Material changes will be reasonably noticed (e.g., banner, email, or in‑product notice). Continued use after the Effective Date means you accept the changes.
Short version: We update terms as the product and laws evolve.
4) Account Eligibility
Minimum age. You must be at least 13 years old (or older if your jurisdiction requires) to use the Services.
Account info. Provide accurate information, keep your password confidential, and notify us promptly of any unauthorized use. You are responsible for all activity under your account.
Your devices. You’re responsible for your devices, software, and internet connection.
Short version: Be truthful, protect your account, and use the Services responsibly.
5) Services Description
Infotainment & planning. Our Services provide informational content to help you discover and plan trips.
Not a navigation product. We are not a certified navigation or emergency service. Always obey laws, posted signage, and real‑world conditions; use official navigation tools to drive.
No professional advice. Information is provided for general information only; it is not legal, medical, safety, or professional advice.
Short version: Use common sense, follow the rules of the road, and confirm critical details.
6) Third‑Party Services
The Services may link to or integrate third‑party services (maps, payments, analytics, listings, sponsors/affiliates). We don’t control third‑party sites and aren’t responsible for their content or policies. Your use of them is at your own risk and governed by their terms.
Current core providers (subject to change): Backblaze B2 (file/object storage), Stripe (payments), Supabase (authentication and related platform services), Framer (hosting), Mapbox (maps/tiles/geocoding/routing), and/or Google Maps Platform (maps/places/geocoding/routing). These vendors act as processors/service providers to us under their own terms and privacy notices.
Mapping provider terms. Some mapping features require on‑screen attributions and are provided under each mapping provider’s terms. Your use of such features constitutes acceptance of the relevant third‑party terms.
Short version: External links and partners have their own rules.
7) Content on Navode
7.1 Our Content
All text, images, code, datasets, design, and other materials in the Services are owned by Navode or our licensors and are protected by intellectual‑property laws. Except as expressly allowed, you may not copy, modify, distribute, or create derivative works from our content.
7.2 Your Content (User‑Generated Content)
If you submit or share content (e.g., tips, reviews, photos, itineraries, comments, map pins), you retain ownership of your content. You grant Navode a non‑exclusive, worldwide, royalty‑free, sublicensable and transferable license to host, store, reproduce, modify (for formatting), create derivative works (e.g., thumbnails, translations), publicly display and distribute your content solely to operate, improve, market, and provide the Services.
You represent that you have the rights to provide the content and that your content does not infringe third‑party rights. You are responsible for your content, and you assume all risks associated with it.
7.3 Moderation; Takedown
We may review, remove, or restrict content that breaches these Terms or the law. We may also disable accounts for repeated or egregious violations. See the “Reporting & Takedown” section for how to notify us of concerns.
Short version: We own the platform content; you own what you upload, and you give us permission to run the service with it.
8) Acceptable Use Policy
You agree not to: (i) use the Services unlawfully; (ii) harass or post illegal content; (iii) scrape or bulk export without permission; (iv) reverse engineer or bypass security; (v) upload malware or disrupt operations; (vi) misrepresent your identity or manipulate metrics; (vii) clone our datasets/UI; or (viii) infringe rights.
Short version: Be kind, be legal, don’t abuse the system.
9) Beta Features; Experimental Tools
We may offer experimental or beta features that could change, break, or be discontinued. They are provided “as is,” may have limited support, and may be subject to additional rules.
Short version: Betas can be wobbly.
10) Sponsorships, Subscriptions, Referrals & Affiliates
Subscriptions. We may offer free and paid tiers. Prices, features, and billing cycles are shown at purchase. Subscriptions renew automatically until canceled. You can cancel anytime in your account settings (effective at the end of the current period). Unless required by law, fees are non‑refundable once a period begins.
Trials & promos. Trials convert to paid unless canceled before renewal. Promo codes may change pricing for a period and are subject to posted rules.
Sponsors & affiliates. Sponsored placements, affiliate links, and referrals will be clearly disclosed. Payouts, attribution windows, fraud rules, and deliverables are defined by written agreements.
Taxes. Prices may exclude taxes; you’re responsible for any applicable taxes.
Short version: If you buy something, we’ll show you the price, cadence, and how to cancel.
11) Payments
Payments are processed by third‑party processors (e.g., Stripe). By providing payment information, you authorize charges per the plan and cadence you choose. We don’t store full card numbers. Chargebacks may lead to suspension.
Short version: Payments go through a secure processor; keep your billing info current.
12) Intellectual Property Claims (DMCA)
To report copyright infringement, email help.navode@gmail.com with the required DMCA details (contact info; copyrighted work; infringing material’s URL; good‑faith and accuracy statements; signature). Counter‑notices may be submitted per the DMCA.
Short version: We comply with DMCA.
13) Feedback
If you provide ideas or suggestions, you grant Navode a perpetual, irrevocable, royalty‑free license to use them without restriction or compensation. We are not obligated to implement feedback.
14) Service Availability; Support; Uptime
We strive for high availability but do not guarantee uninterrupted operation. Scheduled maintenance or unexpected downtime may occur. Support channels and response targets may be described on our site or plan pages and may vary by tier.
15) Security
We use reasonable technical and organizational safeguards appropriate to the data we handle. However, no method is 100% secure. See the Privacy Policy for incident‑response commitments.
16) Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, NAVODE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT; AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NAVODE DOES NOT WARRANT THAT THE SERVICES ARE ACCURATE, RELIABLE, ERROR‑FREE, OR AVAILABLE AT ALL TIMES.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVODE, ITS DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. Some jurisdictions don’t allow certain limitations; some of the above may not apply to you.
18) Indemnification
You agree to defend, indemnify, and hold harmless Navode from claims arising from your use/misuse of the Services, your content, your violation of these Terms or law, or your infringement of rights.
19) Export, Sanctions & Geographic Restrictions
You must comply with all applicable export‑control and sanctions laws. You may not use the Services if you are located in an embargoed country or on a restricted‑party list.
20) Arbitration, Class‑Action Waiver, and Venue
Informal resolution first. Email help.navode@gmail.com.
Arbitration. Except for small‑claims or IP/security injunctive relief, disputes are resolved by binding arbitration (AAA Consumer Arbitration Rules) in Denver, Colorado, USA. Class‑action waiver. Claims must be brought individually. Opt‑out. Email within 30 days of first use with subject “Arbitration Opt‑Out.”
Governing law & courts. Colorado law governs; venue for non‑arbitrable matters is in Colorado courts.
21) Termination
You may stop using the Services anytime. We may suspend or terminate access for violations, risk/security concerns, non‑payment, or if we discontinue features. Sections that by nature should survive (IP, payments, disclaimers, limitations, indemnity, arbitration, governing law) survive termination.
22) Miscellaneous
Entire agreement; severability; no waiver; assignment (you need our consent; we may assign as part of reorganization/sale); electronic notices; headings don’t affect interpretation; English controls.
